Territory Alliance Groups (TAGs)
ODVA global memberships provide members with rights to full participation in ODVA's working groups in accordance with the membership privileges for membership class in which the member has joined. One of the types of working groups that ODVA offers to its members is the Territory Alliance Group (TAG). This type of working group provides a mechanism for members to take advantage of the synergy generated by the collaboration of ODVA members in a specific geographic territory, primarily for the purpose of promoting vendor and user adoption of ODVA technologies in the specific territory supported by the TAG. The TAG Steering Committee, subject to the direction and approval of the Board of Directors of ODVA (the "Board"), regulates the projects and activities of the TAG. The Board approves the formation of TAGs and their annual work plans. Geographic territories for TAGs do not overlap.

Guiding Principles for TAG Activities
The TAG may conduct special TAG Activities within its designated territory such as holding events, publishing materials or advertising. The purpose of TAG Activities must be to 1) promote, within the territory, ODVA, ODVA technologies, and/or ODVA products and services made and/or sold by its TAG member companies; or 2) provide, within the territory, training to vendors and/or users of ODVA technologies. All TAG Activities shall be conducted in accordance with the following guiding principles:
- Consistency with ODVA's common goals, Articles of Incorporation, Bylaws, Policies and Guidelines;
- Compliance with ODVA's global business model and practices;
- Directed to benefit the ODVA membership as a whole and/or general industry;
- "Pro-competitive" and designed to provide benefits to consumers at large within the industrial marketplace; and
- Compliant with ODVA's TAG operating policies.
The TAG Work Process
Members of a TAG, its Participants and the TAG Steering Committee work together in a collaborative process to develop an annual work plan for the TAG. The annual work plan must be approved by the Board. Once the annual work plan is approved, TAGs meet and operate independently in face-to-face meetings, teleconferences and using electronic communications as the TAG determines at its own discretion. The work of participants in the TAGs is governed by the Bylaws and policies of ODVA, including but not limited to, the Policies for the Operation of Territory Alliance Groups, the IP Policy and the Policy Regarding Conduct of ODVA Activities for Compliance with Antitrust and Competition Laws. In general the TAG operates by consensus. However, in cases where a vote is necessary, each TAG Member only receives one vote, regardless of how many participants from a specific member participate in the TAG.
Participating in a TAG
Employees, officers and directors ("Individuals") from ODVA members in good standing are eligible to join TAGs, subject to the privileges of membership for the member's class of membership and participation requirements for the specific TAG. To join a TAG, an Individual must document that he or she meets its participation requirements and sign and submit the Participation Agreement for ODVA Work Groups to ODVA for acceptance. No Individual shall be allowed to participate in a TAG unless he/she meets its participation requirements and the Participation Agreement has been accepted by ODVA. Prospective members of TAGs are encouraged to 1) contact the chair of the TAG for more information on the approved work plan for and current work of the group, 2) read the ODVA Policy for the Operation of Territory Alliance Groups (PUB00066), and 3) read the ODVA Policy for Conduct of ODVA Activities in Compliance with Anti-Trust and Competition Laws.
A Member of ODVA is not required to have a place of business in the Territory of the TAG in order to be a Member of the TAG. In accepting applications for membership in a specific TAG, the Executive Director shall be guided by the purpose of making membership available to all ODVA Members in good standing who are eligible to participate. Once the Participation Agreement has been accepted and it has been demonstrated that any additional participation requirements have been met, the chair of the TAG will be notified that the new Individual has joined and the Individual will be notified by the chair of future meetings and activities. Forming a New TAG
If a member has interest in activities normally conducted by TAGs in a geographic territory that is not covered by the approved work plans of ODVA existing TAGs, six (6) or more members may propose a TAG to the Board by submitting a proposal to the Board in the form approved by the Board. This proposal shall define, for the proposed TAG, its proposed territory, its mission statement, the interim chairperson and secretariat, the scope of work and deliverables along with the metrics for measuring completion and effectiveness of deliverables and a proposed budget. If the Board approves the formation of the proposed TAG, then an offer shall be extended to all members of ODVA to join the TAG. Members interested in proposing the formation of new TAGs should contact the Executive Director of ODVA for further direction.
